Nvidia has agreed to acquire Hugging Face for $12.93 billion, bringing one of AI’s largest open-model communities under the chipmaker while committing to keep the platform open across models, clouds and computing hardware.
Nvidia’s next major AI bet is not another chip. It is the community and platform where millions of developers build, share and deploy AI.
The company has entered into a definitive agreement to acquire Hugging Face for $12.93 billion, significantly expanding Nvidia’s reach beyond the computing hardware that has powered much of the artificial intelligence boom. The transaction is expected to close in the first half of 2027, subject to customary closing conditions and regulatory approvals.
The structure of the transaction includes approximately $11.9 billion payable to Hugging Face shareholders, alongside an equity-based retention programme worth up to approximately $1 billion for Hugging Face employees joining Nvidia.
That makes the acquisition particularly significant because of what Hugging Face represents within the AI ecosystem.
From AI Chips to the Developer Ecosystem
Founded in 2016, Hugging Face has evolved into one of the most important platforms for open AI development. Nvidia says more than 18 million developers, researchers and creators use the platform, which hosts more than 3 million models, 500,000 datasets and 1 million applications. More than 200,000 companies also use Hugging Face to discover, evaluate, customise and deploy AI.
For Nvidia, acquiring that ecosystem creates a new connection with the developers building the applications that ultimately require AI computing infrastructure.
The company already occupies a central position in the AI hardware market through its GPUs. Hugging Face gives it a considerably larger presence at another layer of the industry: the tools, models and communities developers interact with while creating AI applications.
The deal therefore broadens Nvidia’s position from providing much of the computing power behind AI to owning one of the industry’s most widely used development platforms.
Hugging Face to Remain Open
One of the most important questions surrounding the acquisition is what happens to Hugging Face’s open ecosystem under Nvidia ownership.
Nvidia CEO Jensen Huang has said the platform will remain open to the wider AI industry. Developers will continue to be able to choose their models, frameworks, cloud providers, inference services and computing platforms. Crucially, Nvidia has stated that its own computing technology will not be required to build or deploy through Hugging Face.
The commitment matters because Hugging Face has developed much of its influence by acting as a common platform across a fragmented AI industry rather than being tied to a single model or hardware provider.
According to Nvidia’s regulatory filing, Hugging Face will continue allowing developers and users to upload and download models and datasets of their choosing and will continue supporting other silicon vendors.
A Bigger Bet on Open AI
The acquisition also places open models more firmly at the centre of Nvidia’s long-term strategy.
Open and open-weight models give businesses and developers greater ability to customise and deploy AI systems according to their own requirements. Hugging Face has become an important distribution and collaboration layer for that ecosystem, while Nvidia has increasingly supported open AI development through its own models, software and infrastructure.
The combination could allow Nvidia to participate more deeply across the AI development lifecycle, from the infrastructure used to train and run models to the platform through which developers discover and deploy them.
For Hugging Face, meanwhile, Nvidia says the transaction will provide additional resources to expand the platform and its infrastructure.
The scale of the deal is also striking compared with Hugging Face’s previous valuation. The company was valued at about $4.5 billion in 2023, meaning the agreed transaction represents a substantial increase in value in roughly three years.
More importantly, the acquisition illustrates how the competitive landscape of artificial intelligence is expanding beyond who makes the fastest chips or most capable models. The platforms connecting developers, models, data and computing infrastructure are becoming valuable strategic assets in their own right.
If completed as planned, Nvidia’s $12.93 billion purchase of Hugging Face will give the chipmaker a much larger role in that layer of the AI economy, while putting its promise to preserve Hugging Face as an open, hardware-neutral ecosystem at the centre of how the deal will ultimately be judged.
